1. Agreement & Acceptance of Terms
Welcome to NutraLab Canada Corp. ("NutraLab", "we", "us", or "our"). By accessing or using our website, requesting quotations, or placing commercial orders for private label supplement contract manufacturing, you ("Client", "User", "Purchaser") agree to be bound by these Terms of Service. These terms govern all website interactions, product orders, OEM/ODM manufacturing agreements, and technical services provided by NutraLab from our Health Canada site-licensed facility located in Scarborough, Ontario, Canada.
If you do not agree to these terms, you must refrain from using this website or engaging our contract manufacturing services. We reserve the right to revise these Terms of Service at any time without prior notice. Continued use of our site or services after modifications constitutes binding acceptance of the updated terms.
2. B2B OEM & Private Label Contract Manufacturing Terms
2.1 Minimum Order Quantities (MOQ) & Pricing
All private label and OEM custom supplement manufacturing orders are subject to established Minimum Order Quantities (MOQs) dependent on the chosen dosage form (softgels, tablets, capsules, liquids, powders, or gummies) and packaging configuration. Written quotations provided by NutraLab are valid for 30 calendar days unless specified otherwise. Prices are quoted exclusive of applicable shipping, insurance, customs duties, tariffs, and government taxes.
2.2 Custom Formulations & Batch Approvals
For custom formulations, clients must review and approve pilot samples, formula specifications, and master batch records prior to commercial production. NutraLab maintains high-performance GMP manufacturing standards to ensure lot-to-lot batch uniformity, active ingredient potency, and purity compliance.
2.3 Regulatory Licensing & Export Compliance
NutraLab operates under a Health Canada Site Licence and strictly adheres to Natural Health Products Regulations (NHPR) and Good Manufacturing Practices (GMP). While NutraLab provides regulatory support for Natural Product Number (NPN) applications, Certificates of Analysis (CoA), and Certificates of Free Sale (CFS), global buyers are solely responsible for ensuring that finished dietary supplements comply with local import laws, health authority regulations, and labeling requirements in their destination markets.
3. Intellectual Property & Formula Ownership
Client formulas, proprietary ingredient blends, registered brand trademarks, and custom label artwork submitted to NutraLab remain the exclusive intellectual property of the Client. NutraLab agrees not to commercialize or sell proprietary client formulations to third-party buyers without explicit written consent.
Conversely, all standard catalog formulations, proprietary manufacturing processes, softgel encapsulation techniques, and site-licensed delivery systems developed independently by NutraLab remain the sole intellectual property of NutraLab Canada Corp.
4. Quality Assurance, Inspection & Order Cancellations
4.1 Raw Material & Finished Product Quality Control
NutraLab conducts rigorous raw material identification, heavy metal, microbial, and potency testing on every batch. Finished goods are released only after our Quality Assurance team verifies compliance against written specifications and issues a signed Certificate of Analysis.
4.2 Order Modifications & Cancellations
Because contract supplement manufacturing involves raw material procurement, batch scheduling, and custom packaging allocation, orders placed into production cannot be canceled or modified. Any order cancellation request must be submitted in writing prior to raw material commitment and is subject to cancellation fees covering incurred production costs.
5. Limitation of Liability & Indemnification
NutraLab Canada Corp. shall not be held liable for any indirect, incidental, consequential, or punitive damages arising from product shipment delays, customs seizures in destination countries, or improper product storage and handling post-delivery. The Purchaser agrees to indemnify, defend, and hold harmless NutraLab Canada Corp., its directors, officers, and quality personnel against any claims, liabilities, or regulatory actions resulting from unapproved health claims or marketing violations made by the Purchaser.
6. Governing Law & Jurisdiction
These Terms of Service and all commercial manufacturing transactions shall be governed by and construed in accordance with the federal laws of Canada and the provincial laws of Ontario. Any dispute, legal action, or arbitration arising from these terms or manufacturing contracts shall be submitted to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.
